Affiliate Terms of Service

1. Agreement

These Affiliate Terms of Service ("Affiliate Terms") govern your participation in the SpicyAPI affiliate program ("Program") operated by SpicyAPI.com ("Company", "We", "Us"). By claiming a referral link you accept these Affiliate Terms in addition to our Terms of Service and Acceptable Use Policy, which apply in full to your participation in the Program. If you do not agree, do not participate in the Program.

2. Eligibility

You must be at least 18 years old, hold a SpicyAPI account in good standing, and be legally permitted to promote adult-content services in the jurisdictions where you promote. We may accept, refuse, suspend, or remove any affiliate at our sole discretion, at any time, with or without cause.

3. Commissions and Attribution

The standard commission is 10% of net revenue from purchases made by customers you refer, on a recurring basis. A visitor is attributed to you when they sign up within 90 days of clicking your referral link (first-touch attribution, tracked by cookie). We may change the commission rate, attribution window, or attribution method prospectively at any time with notice via the affiliate dashboard. Commissions are calculated exclusively from our own records, which are final and binding.

4. Prohibited Conduct

You must not:

• Refer yourself, your own accounts, or accounts under your control, or funnel your own spending through a referral;
• Send unsolicited email, messages, or other spam containing your referral link;
• Bid on "SpicyAPI" or confusingly similar terms in paid search, or use domains, handles, or branding that impersonate SpicyAPI;
• Use cookie stuffing, forced clicks, iframes, typosquatting, browser extensions, or any technique that attributes users who did not knowingly click your link;
• Offer unauthorized rebates, cash-backs, or other incentives to sign up, or present yourself as acting on behalf of SpicyAPI;
• Make false, misleading, or unlawful claims about the Services, or promote in venues that violate our Acceptable Use Policy or applicable law (including to minors or in jurisdictions where adult content is prohibited).

To enforce the first rule, we compare each referred account with yours: the browsers, networks, payment cards, and checkout email addresses they use, and where their API calls come from. Commissions from a referral that matches are held for manual review, and no payout or API credit is issued to you while a review is open. If we conclude the referral is yours or under your control, all its commissions are void under Section 6.

5. Payouts

Payouts are made monthly, in USD, for approved commission balances of at least $25, to the PayPal account or bank account you provide in the affiliate dashboard. You are responsible for the accuracy of your payout details; payments sent to the details you provided are deemed received. Transfer and currency-conversion fees may be deducted from the payout. Commissions are held for 30 days before they become available, to allow for refunds and chargebacks.

Instead of a cash payout, you may take any available commission as SpicyAPI balance at twice its value ($1 of commission becomes $2 of API credit), at any time and with no minimum above $1, from the affiliate dashboard. Credit is added to the SpicyAPI account you are signed in with, replaces a cash payout for that amount, and is subject to our Terms of Service like any other balance. It has no cash value: it cannot be withdrawn, refunded, or transferred, and it is forfeited if your account is suspended for breaching our terms. Commission later reversed under Section 6 is deducted from your future commissions.

6. Refunds, Chargebacks, and Clawbacks

Commissions on refunded, charged-back, disputed, or fraudulent transactions are reversed, including after payout, in which case the amount is deducted from future balances or must be repaid on request. Commissions earned through conduct prohibited by Section 4 are void in their entirety.

7. Relationship and Taxes

You participate as an independent contractor. Nothing in the Program creates an employment, agency, partnership, or joint venture relationship. You are solely responsible for all taxes, levies, and reporting obligations arising from amounts paid to you, and for complying with advertising-disclosure requirements (such as clearly disclosing your affiliate relationship where required).

8. Termination

Either party may end participation at any time. We may suspend or terminate your participation, withhold unpaid commissions, and disable your referral link immediately where we reasonably suspect a breach of these Affiliate Terms or fraud. On termination without breach, approved commissions above the payout minimum are paid in the next payout cycle; attribution of your referrals ends.

9. Disclaimer and Limitation of Liability

The Program is provided "as is" without warranties of any kind, including uninterrupted tracking or availability. To the maximum extent permitted by law, our aggregate liability arising out of the Program is limited to the commissions payable to you in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits.

10. Changes to These Terms

We may modify these Affiliate Terms at any time by posting the updated version on this page. Continued participation after changes take effect constitutes acceptance. Material changes to the commission rate apply prospectively only.

11. General

The governing law, dispute-resolution, and severability provisions of our Terms of Service apply to these Affiliate Terms. If any provision is held unenforceable, the remainder stays in effect. Questions about the Program: contact@spicyapi.com.
